FAQ – Gold Token
1. Project Information
1.1 What is this project, and who is the issuer?
The MTS Gold Investment Token is an investment digital token issued by MTS Central Co., Ltd., one of Thailand's leading gold bullion traders.
The project aims to raise funds to support the issuer's gold bullion trading business. The proceeds from the offering will be allocated as follows:
90% – Purchase of 96.5% standard gold bullion to be held as inventory.
10% – Working capital for business operations.

1.2 What is Orbix Trade's role?
Orbix Trade acts as the broker, receiving customers' subscription requests and forwarding them to the Digital Token Offering System Provider (Kubix Digital Asset Co., Ltd.) for subscription confirmation and token allocation.
1.3 What is the selling period?
The selling period is from 24 July 2026 at 9:00 a.m. to 30 August 2026 at 4:00 p.m., or until the selling period is closed earlier by announcement.
1.4 Who is eligible to invest?
The project is open to all investor categories, subject to the project's eligibility requirements and applicable regulations, including:
Retail
Institutional
High Net Worth (HNW)
Ultra High Net Worth (UHNW)
1.5 What returns will investors receive?
Investors may receive:
Base Return: 3% per annum (before withholding tax), paid annually.
Additional Return (if applicable): Based on the project's gold price performance.
Principal Repayment: Upon project maturity (3 years).
1.6 What are the Base Return and Additional Return?
Base Return: A fixed return of 3% per annum (before withholding tax) on the initial investment, paid according to the project terms.
Additional Return: An additional return (before withholding tax) payable if the average gold price at project maturity is higher than the average gold price at project commencement, subject to the project conditions.

1.7 When are returns paid?
Base Return: Paid annually according to the project schedule.
Additional Return (if applicable): Paid at project maturity, subject to the project conditions.
Principal Repayment: Paid at project maturity (3 years).
1.8 Is tax withheld from returns received from holding digital tokens?
Returns from holding digital tokens are treated as assessable income under the Revenue Code and are subject to the following tax treatment:
Individuals: A 15% withholding tax is deducted. If the taxpayer elects not to include such income in the annual personal income tax calculation, the withholding tax cannot be claimed as a refund.
Thai-incorporated companies: No withholding tax is deducted. However, the returns must be included in net taxable profit for corporate income tax purposes.
1.9 Is capital gain from trading digital tokens taxable?
Capital gains from trading digital tokens are treated as assessable income under the Revenue Code. For individuals, gains from transfers made through a licensed digital asset business operator, such as Orbix Trade are exempt from personal income tax from 1 January 2025 to 31 December 2029, subject to the conditions prescribed by applicable tax laws.
2. Subscription Process
2.1 Subscription Channel
Investors can subscribe through the Orbix Trade application:

Note: Subscription is available only through the Orbix Trade application.
2.2 ICO Knowledge Test Requirement
Before subscribing, investors must pass the 7-question ICO Knowledge Test, which assesses their understanding of digital tokens, investment risks, and the project. The test can be completed in the Orbix Trade application during the subscription process.
2.3 Bank Account Requirement
Investors must add a bank account to make the subscription payment and receive investment returns.

2.4 Minimum Subscription Amount
The minimum subscription amount is THB 10,000, equivalent to 10 tokens. Each token is priced at THB 1,000, subject to the project terms.
2.5 Maximum Subscription Amount
Retail: Up to THB 300,000 (300 tokens) per project.

Examples:
THB 10,000 = 10 tokens
THB 50,000 = 50 tokens
THB 300,000 = 300 tokens (maximum for Retail Investors)
2.6 Subscribing Above THB 300,000
To subscribe for more than THB 300,000, you must be approved as an HNW or UHNW.
You may send an, email support@orbixtrade.com with the subject "Register as a High Net Worth Investor" and submit the required supporting documents.

Tip: If your HNW/UHNW application is under review, you may subscribe up to THB 300,000 first to avoid missing the subscription opportunity.
2.7 Subscription Confirmation
Investor can check subscription status through the Notifications section in the Orbix Trade application.
2.8 Unsuccessful or Partial Allocation
If a subscription is not allocated, or is only partially allocated, the unallocated amount will be refunded to the original payment method.
Refunds are issued by the Digital Token Offering System Provider within 7–14 business days after the subscription period ends or the allocation results are announced.
2.9 Early Cancellation or Redemption
The MTS Gold Investment Token is a 3-year buy-and-hold investment. Investors will receive principal repayment at project maturity, a 3% annual Base Return, and may receive an Additional Return, subject to the project's gold price conditions.
Early redemption is not available.
The principal will be repaid only at project maturity.
Investors should consider the limited liquidity before investing.
3. Additional Questions
3.1 What are the key project risks?
Key risks include:
Return Risk: The Additional Return depends on gold price performance and may be lower than expected. However, investors remain eligible for the Base Return in accordance with the project terms.
Issuer Risk: If the issuer's business performance falls below expectations, the issuer remains obligated to pay returns and repay the principal in accordance with the project terms. Investors may exercise their legal rights if these obligations are not fulfilled.
Gold Price Risk: Gold prices may fluctuate due to market conditions. The issuer manages this risk through ongoing monitoring and appropriate hedging strategies.
Gold Storage Risk: Gold bullion may be subject to loss or theft. The issuer has implemented security measures, including insurance coverage, inventory inspections, regular internal audits, and 24-hour security.

3.2 Do token holders own the underlying gold?
Token holders do not own the underlying gold. Instead, they are unsecured creditors of the issuer. This means:
The issuer's gold inventory is not collateral for the project.
Token holders are entitled to receive returns and principal repayment in accordance with the project terms, but do not have ownership rights to the physical gold.
3.3 What happens if the gold price falls below the initial investment value?
If the gold price falls below the initial investment value, no Additional Return will be paid.
However, investors remain eligible for the Base Return under the project terms.
The payment of returns and principal repayment is subject to the issuer's ability to meet its payment obligations.
3.4 Can the token offering be cancelled?
The offering may be cancelled if:
The offering does not comply with the requirements of the SEC Thailand.
The total offering amount is below THB 1.2 billion, the project's minimum fundraising target.
3.5 Can the bank account for receiving returns be changed?
The bank account can be changed after token allocation, provided that at least one active bank account is linked to the Orbix Trade account.
The registered bank account will be used for investment returns and principal repayment. If the transfer fails, the issuer will issue a cashier's cheque and send it by registered mail within 14 days.
